Terms and Conditions of Use

VendiVoce is an online platform operated by Heterna Company Ltd. (Business Registration Number 78167200), with registered office at Unit 1601-2, 16/F, Prosperity Millenia Plaza, 663 King's Road, North Point, Hong Kong. The platform lets users publish and browse vehicle sale listings (cars and motorcycles), including through automatic generation of the listing from a video walk-around narrated by the seller.

VendiVoce is only a technical intermediary: it hosts listings and connects sellers and buyers. No sale contract is or can be concluded through the platform. VendiVoce is not a party to, broker of, or agent in the negotiation or sale, does not own the vehicles, and handles no payments between users.

We do not guarantee the truthfulness of listings, the quality, condition or availability of vehicles, or the solvency or identity of users. Negotiation and any sale take place directly between users, under their sole responsibility. Verify the vehicle and its documents in person before buying.

Browsing listings requires no account. To publish a listing you record (or upload) a walk-around video of your vehicle, say what you know about it, and VendiVoce's artificial intelligence drafts the listing from it: the details, the description, and a set of photos cut from the video. You review and can correct everything before submitting.

An account (free) is required to publish and manage listings, and to save listings to your favourites.

Every listing is checked before it goes live — by an automated audit against its own video and, where needed, by a human moderator. We may decline or take down a listing that fails these checks.

The Service is currently free for private sellers. If we introduce optional paid features in the future, they will be clearly marked and governed by their own conditions, presented before any purchase.

We may modify, suspend or discontinue parts of the Service for reasons connected to the operation of our business. We may also update these Terms: the current version is always published on this page. For registered users, material changes will be announced with reasonable advance notice (for example by email or a notice in your dashboard); continuing to use the Service after that notice means you accept the new Terms. If you do not, you can close your account at any time.

The content you upload or record — the video walk-around and its audio narration, the photos extracted from it, any photos you add, the listing text and details ('your Content') — remains yours and your responsibility.

So that the Service can work, you grant VendiVoce a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt (for example: transcribing your narration, extracting photos and drafting the listing text via AI, translating the description), display and distribute your Content on the platform for the purposes of operating, moderating and promoting the Service. This licence lasts for as long as your Content is on the platform and ends when it is deleted, except for copies we must keep to comply with the law.

Note that your walk-around video is published together with your listing and can be viewed by anyone; its audio contains your voice. The photos cut from the video appear in the listing gallery. See the Privacy Policy for how long each of these is kept.

You may only upload content you own or are authorised to use, which does not infringe third-party rights.

Every listing must be truthful, current, and describe a specific, real vehicle that you own (or are authorised to sell) and that is actually available for sale. In particular, a listing must not:

• state a price that is misleading, symbolic, partial, or conditional on financing, trade-in or scrappage — the price shown must be the final price to the public;
• conceal relevant defects, damage or the vehicle's true condition;
• use photos or a video that do not show the actual vehicle offered (catalogue or stock images, other people's media);
• advertise anything other than the sale of the vehicle — no spare parts, no 'wanted' ads, no promotion of businesses, websites or social pages;
• duplicate a listing for the same vehicle;
• remain online once the vehicle is sold or otherwise unavailable;
• contain unlawful, offensive, discriminatory or defamatory content;
• include premium-rate phone numbers, or personal data of third parties without their consent;
• concern a vehicle whose sale is prohibited by law (e.g. under administrative lien or seizure).

We may remove or decline listings that break these rules (see 'Moderation' below).

• You must be at least 18 years old to use the Service.
• Provide accurate registration data and keep it up to date.
• Keep your credentials secret; you are responsible for activity under your account. Tell us immediately at privacy@vendivoce.it if you believe your account has been compromised.
• One account per person; you may not transfer your account to anyone else.

The contact details you attach to a listing (such as your phone number) are shown to interested buyers so they can reach you, and buyers who contact you through the platform share their own details with you for the same purpose. By entering contact details you authorise this. Use the details you receive only to negotiate the sale — never for marketing or any other purpose.

Listings are reviewed before publication. We may decline, hide or remove a listing, and suspend or close an account, where we reasonably believe these Terms or the law are being violated — for example: content that fails the listing rules, suspected fraud or misrepresentation, use of someone else's credentials, or abuse of the platform. Where feasible we will tell you what was done and why, and you can contact us to contest a decision.

You can delete your own listings, or your account, at any time from your dashboard. When a listing leaves the platform its walk-around video is deleted as described in the Privacy Policy.

We work to keep the Service available and safe, but it is provided "as is": interruptions can happen (maintenance, technical faults, events outside our control) and we do not promise uninterrupted availability. We do not guarantee any minimum number of views or contacts for your listing, nor that your vehicle will sell.

As a hosting intermediary, VendiVoce does not have a general obligation to monitor the content users upload, nor to actively seek out unlawful activity; each user is solely responsible for their own Content and their own conduct.

To the extent permitted by law, VendiVoce is not liable for damages arising from the use of the Service, from third-party listings or content, from transactions between users, or from service interruptions. Nothing in these Terms excludes or limits liability that cannot be excluded by law — including under mandatory consumer-protection rules.

You will indemnify and hold VendiVoce harmless from third-party claims arising from your Content or your breach of these Terms.

You may not assign your rights or obligations under these Terms without our written consent. We may assign them to a company of our group, or to a third party as part of a business transfer, with notice to you; in that case you may close your account if you do not agree.

If any clause of these Terms proves invalid or unenforceable, the remainder stays in force; the invalid clause will be replaced by a valid one that most closely reflects its intent.

These Terms are governed by the law applicable at the Controller's registered office. This does not affect the application of the mandatory consumer-protection rules of the user's country of residence, nor — where those rules so provide — the consumer's right to bring proceedings before the courts of their own place of residence or domicile.

If you have a problem, write to us first at privacy@vendivoce.it — we will try to resolve it directly. Pursuant to EU Regulation 524/2013, the European Commission also provides consumers with a platform for online dispute resolution (ODR), available at: https://ec.europa.eu/consumers/odr.

Professional sellers (dealers) are also subject to the Dealer Terms, which prevail over these Terms where they conflict.
